CSR Policy

 

01. PREAMBLE


As a healthcare technology company, we at CitiusTech work with a constant awareness that our work directly impacts human life. “Demonstrating care and concern for every individual and our community” is an integral value of the CitiusTech philosophy. It is our earnest endeavor to integrate the same value into our Corporate Social Responsibility (“CSR”) Policy and framework.

 

02. CSR COMMITTEE


The Board of Directors of the Company has constituted a Corporate Social Responsibility Committee (“CSR Committee”) to assist the Board to effectively discharge its corporate social responsibility obligations. The Committee shall exercise the powers and responsibilities vested in it under the Companies Act, 2013 and rules thereunder, or any re-enactment thereof. The CSR Committee shall function as per responsibilities outlined in its charter and in this policy and shall monitor the policy from time to time. The Board will continue to have the overall responsibility in respect of all CSR matters.

 

03. FOCUS AREAS OF CSR ACTIVITIES


Primary Focus areas:

The main focus area of the CSR activities of the Company shall be aligned to the following activities mentioned in the Schedule VII to the Companies Act 2013:

 (i)  Eradicating hunger and poverty and malnutrition, promoting preventive healthcare and sanitation and making available safe drinking water.
 (ii)  Promoting education; including special education and employment enhancing vocation skills especially among children, woman, elderly and the differently abled and livelihood enhancement projects..

Secondary focus areas: The Company may also contribute to other CSR activities mentioned in the Schedule VII to the Companies Act 2013.

 

04. IMPLEMENTATION OF CSR ACTIVITIES


The Company shall undertake CSR activities through such non-government or government affiliated organizations, as approved by the CSR Committee (“CSR Partners”).The CSR Committee shall identify such CSR Partners and allocate funds to them for specific CSR projects. The Committee may engage specialized agencies, if necessary, for identification of such CSR Partners. Selection of CSR Partners shall be based on the following parameters:

     (i)  Track Record in implementation of CSR activities

     (ii)  Alignment with the focus areas of CitiusTech


     (iii)  Disclosure, Monitoring and Reporting mechanisms


The CSR Committee may also partner with other companies or corporate foundations or trusts in order to fulfil its CSR obligations. The CSR Committee shall broadly follow the same parameters mentioned hereinabove while identifying such companies or corporate foundations or trusts.

Further, the CSR Committee may also allocate funds to government / non-government schemes which fall under the purview of Schedule VII of the Companies Act 2013.

In line with the basic philosophy of the Company, the CSR Committee shall endeavor to establish long term relationships with CSR Partners, which will enable the Company to effectively sustain its CSR efforts.

 

05. MONITORING & REPORTING


The CSR Committee shall meet at such intervals as may be necessary to discharge its functions. It would ensure that CSR activities are monitored and proper disclosures and reports are periodically obtained from CSR partners. Such periodic reports shall be reviewed by the CSR Committee. The CSR Committee shall also conduct an annual appraisal of the CSR Partners and accordingly give recommendations regarding continuation of the Company’s relationship with them or otherwise their replacement. The CSR Committee shall submit an annual report on the CSR activities and expenditure of the Company to the Board of Directors after the end of every financial year along with recommendations for the next financial year.

 

06. BUDGET


The Company shall spend at least two percent of the average net profits of the Company made during the three immediately preceding financial years (or any such amount as prescribed under the Companies Act 2013 and Rules made thereunder), in pursuance of its Corporate Social Responsibility Policy.
